- means the disclosure of a candidate's details to a client or vice versa.
- "Placement"
- means the successful hiring of a candidate by a client following our introduction.
- "Services"
- means all recruitment and related services provided by URecruit Global.
- "Website"

- "Work-Seeker"
- has the meaning given in the Conduct of Employment Agencies and Employment Businesses Regulations 2003.
4. Service Scope and Limitations

4.2 Service Limitations
No Guarantee of Employment: We do not guarantee that candidates will secure employment or that clients will successfully hire candidates. Our role is to facilitate introductions and provide recruitment services.
Right to Refuse Service: We reserve the right to refuse or discontinue services to any candidate or client at our sole discretion, particularly where information provided is false, misleading, or incomplete.
Recruiter Discretion: All candidate-client matching decisions are made at our professional discretion based on job requirements, candidate qualifications, and market conditions.
Non-Exclusive Representation: Candidates are free to register with other recruitment agencies and apply for positions independently. Clients may engage multiple recruitment agencies for the same vacancy.
5. User Accounts and Registration
5.1 Account Creation
While browsing our public job board does not require registration, certain services may require you to create an account. When creating an account, you must provide accurate, current, and complete information.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use
- Using strong passwords and updating them regularly
5.3 Account Restrictions
You must not:
- Share your account credentials with others
- Create multiple accounts for the same purpose
- Use automated systems to create accounts
- Impersonate others or provide false identity information
5.4 Account Suspension and Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse our services.
6. Candidate Terms
6.1 Information Accuracy
By submitting your CV or personal information, you warrant that:
- All information provided is true, accurate, and complete
- You have the right to work in the jurisdictions where you seek employment
- You possess the qualifications, experience, and skills claimed
- You will promptly notify us of any material changes to your circumstances
6.2 Consent for CV Submission
By registering with us, you consent to:
- The disclosure of your details to potential employers
- The submission of your CV to clients for relevant opportunities
- The use of your information in accordance with our Privacy Policy
- Storage of your information for future opportunities
6.3 Anti-Circumvention Obligations
You agree that you will not:
- Approach or accept employment directly with any client to whom we have introduced you for a period of 12 months from the date of introduction, without our prior written consent
- Disclose details of client vacancies or confidential information to third parties
- Use information obtained through our services to contact clients independently
Note: This restriction does not apply to positions advertised publicly or where you had prior contact with the client before our introduction.
6.4 Interview Process Obligations
When invited to interview, you must:
- Attend interviews punctually and professionally prepared
- Provide honest and accurate responses
- Notify us immediately of any offer received or decision to withdraw
- Comply with client requirements regarding confidentiality and security
6.5 Notice Period for Application Withdrawal
You must provide reasonable notice (minimum 24 hours) if you wish to withdraw from any application process. Late withdrawals may result in suspension from our services.
6.6 Right to Work Verification
You must provide satisfactory evidence of your right to work in the UK or relevant jurisdiction, including:
- Valid passport or national identity card
- Work permits or visa documentation where applicable
- Proof of qualifications where relevant to the role
7. Client/Employer Terms
7.1 Job Description Accuracy
Clients must provide:
- Accurate and complete job descriptions
- Realistic salary and benefit details
- Clear reporting relationships and working conditions
- Any special requirements or security clearances needed
7.2 Feedback and Communication
Clients agree to:
- Provide timely feedback on candidates (within 5 business days)
- Communicate any changes to job requirements promptly
- Treat all candidates fairly and professionally
- Comply with equality and anti-discrimination legislation
7.3 Exclusive vs Non-Exclusive Arrangements
Unless otherwise agreed in writing:
- All assignments are conducted on a non-exclusive basis
- Clients may engage other recruitment agencies for the same vacancy
- We may represent multiple candidates for the same position
7.4 Direct Hiring Restrictions
Where we have introduced a candidate to you, you agree not to employ that candidate without paying our introduction fee, except where the candidate was known to you before our introduction, after a period of 12 months from the date of introduction, or with our prior written consent.
7.5 Temporary to Permanent Conversions
If you wish to offer permanent employment to a temporary worker supplied by us, additional fees may apply as outlined in Section 8.
8. Fees and Payment
8.1 Fee Structure
Our fees for recruitment services vary depending on the level of the position, the complexity of the search, and the type of engagement (permanent, contract, or temporary). Specific fee arrangements will be agreed upon in writing before commencing any assignment.
8.2 Payment Terms
- Invoices are issued upon successful placement and candidate start date
- Payment terms will be specified in the client agreement
- Late payment charges may apply to overdue amounts as specified in the agreement
- We reserve the right to suspend services for non-payment
8.3 Temporary to Permanent Conversions
If a client wishes to offer permanent employment to a temporary worker supplied by us, additional fees may apply. The specific terms and timelines will be outlined in the temporary worker agreement.
8.4 Additional Services
We offer various additional services including executive search, psychometric testing, background checks, and talent mapping. Fees for these services are quoted separately based on the scope and requirements of each project.
9. Refund and Replacement Guarantee Policy
9.1 Guarantee Period
We provide guarantees for permanent placements as specified in individual client agreements. The guarantee period and terms vary depending on the level of the position and will be clearly outlined in writing before commencement of the assignment.
9.2 Refund or Replacement Options
If a candidate leaves or is dismissed within the agreed guarantee period, we may offer either a refund of fees (in whole or in part) or provide a replacement candidate at no additional fee, subject to the terms specified in the client agreement.
9.3 Guarantee Exclusions
The guarantee does not apply where the candidate leaves due to:
- Genuine redundancy or company closure
- Gross misconduct or criminal activity
- Material change in job description or terms after placement
- Client breach of employment law or discriminatory practices
- Candidate resignation due to client misrepresentation of the role
9.4 Claiming Process
To claim under the guarantee, clients must:
- Notify us in writing within the timeframe specified in the client agreement
- Provide reasons for departure and any relevant documentation
- Cooperate with our reasonable inquiries
- Not have breached these Terms or acted unreasonably
10. Intellectual Property Rights
10.1 Website Content Ownership
All content on our website, including text, graphics, logos, images, software, and design elements, is owned by URecruit Global and protected by copyright, trademark, and other intellectual property laws.
10.2 Candidate CV Rights
Candidates retain ownership of their CV content but grant us a licence to:
- Store and process the CV for recruitment purposes
- Share with potential employers for relevant opportunities
- Use anonymised information for market research and service improvement
10.3 Prohibited Activities
You must not:
- Copy, reproduce, or distribute our website content
- Use automated tools to scrape or download our data
- Reverse engineer our systems or processes
- Use our trademarks or brand assets without permission
10.4 User-Generated Content
By submitting content to our website (reviews, comments, testimonials), you grant us a perpetual, royalty-free licence to use, modify, and display such content for business purposes.
11. AI-Powered Services and Disclaimers
11.1 AI Salary Calculator
Our salary calculator uses artificial intelligence (OpenAI technology) to provide market-based estimates. Please note:
- Estimates Only: Results are for guidance only and not guaranteed to be accurate
- No Liability: We are not liable for decisions made based on salary estimates
- Data Sources: Estimates are based on publicly available market data and AI analysis
- Regular Updates: Data is updated regularly but may not reflect real-time market changes
11.2 CV Parsing and Processing
We use AI technology to extract information from uploaded CVs:
- Accuracy Disclaimer: Parsing may contain errors - candidates should review all extracted information
- Human Oversight: All AI-processed information is reviewed by our recruitment consultants
- Data Security: CV processing complies with UK GDPR requirements
11.3 Automated Matching
Our candidate-job matching system uses algorithms to identify suitable opportunities:
- No Guarantee: Automated matches are suggestions only, not guarantees of suitability
- Human Review: All matches are validated by experienced recruiters
- Continuous Improvement: Our algorithms are regularly updated and refined
11.4 AI Limitations
You acknowledge that AI services:
- May produce incorrect or biased results
- Cannot replace human judgment and expertise
- Are subject to technical limitations and errors
- Should not be relied upon as the sole basis for important decisions
12. Prohibited Uses
12.1 Fraudulent Activities
You must not:
- Provide false or misleading information in applications or CVs
- Impersonate others or create fake profiles
- Use stolen or fraudulent identity documents
- Engage in any form of recruitment fraud
12.2 System Abuse
You must not:
- Upload viruses, malware, or malicious code
- Attempt to gain unauthorised access to our systems
- Use automated tools to scrape our website or data
- Interfere with the normal operation of our services
12.3 Circumvention Activities
You must not:
- Contact clients directly after introduction to avoid paying fees
- Share client contact details with other candidates or agencies
- Use our platform to recruit for competing recruitment agencies
- Attempt to poach our staff or consultants
12.4 Harassment and Discrimination
You must not:
- Harass, threaten, or abuse our staff, candidates, or clients
- Discriminate based on protected characteristics
- Use offensive, abusive, or inappropriate language
- Engage in any form of unlawful behaviour
12.5 Spam and Unsolicited Communications
You must not:
- Send spam or unsolicited marketing communications
- Use our contact details for marketing purposes
- Mass-upload irrelevant CVs or applications
- Abuse our communication channels
13. Data Protection and Privacy
13.1 Privacy Policy Compliance
Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to data processing as described in our Privacy Policy.
13.2 UK GDPR Compliance
We comply with the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018. You have rights regarding your personal data, including:
- Right of access and rectification
- Right to erasure and data portability
- Right to object to processing
- Right to lodge complaints with the ICO
13.3 Data Processing Agreements
For clients who receive candidate data, we maintain appropriate data processing agreements to ensure compliance with data protection law.
13.4 International Data Transfers
Some of our services involve data transfers outside the UK/EEA. We ensure appropriate safeguards are in place, including Standard Contractual Clauses where necessary.
14. Liability Limitations and Disclaimers
14.1 Service Disclaimer
Our services are provided "as is" and "as available" without warranties of any kind. We do not warrant that:
- Services will be uninterrupted or error-free
- All candidate or job information will be accurate
- Technical issues will not occur
- Third-party services will function correctly
14.2 Limitation of Liability
To the maximum extent permitted by law, our liability is limited as follows:
For Clients:
- Total liability capped at the amount of fees paid by the client in the 12 months preceding the claim
- No liability for indirect, consequential, or special damages
- No liability for lost profits, business interruption, or loss of opportunity
For Candidates:
- No liability for failure to secure employment
- No liability for employment-related disputes with clients
- No liability for decisions made based on our advice or services
14.3 Exclusions from Limitation
We cannot exclude liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by law
14.4 Professional Indemnity
We maintain professional indemnity insurance appropriate to our business activities.
14.5 Reasonableness Under UCTA
Where the Unfair Contract Terms Act 1977 applies, we believe our limitation clauses are reasonable considering:
- The nature of our services and industry standards
- The relative bargaining positions of the parties
- The availability of alternative service providers
- Whether clients could have obtained insurance against the risks
15. Confidentiality
15.1 Mutual Confidentiality
All parties agree to maintain confidentiality regarding:
- Non-public information about job vacancies
- Candidate personal and professional details
- Commercial terms and fee arrangements
- Any proprietary business information shared
15.2 Client Vacancy Information
We will treat client vacancy details as confidential and will not disclose them except:
- To suitable candidates for recruitment purposes
- Where required by law or court order
- With prior written consent of the client
15.3 Candidate Information
Candidate information will be treated confidentially and only disclosed:
- To clients for relevant job opportunities
- Where consent has been provided
- As required by law or regulation
15.4 Survival
Confidentiality obligations survive termination of our relationship and continue indefinitely.
16. Compliance and Regulatory Requirements
16.1 Employment Agency Regulations
We operate in compliance with:
- Conduct of Employment Agencies and Employment Businesses Regulations 2003
- Employment Agencies Act 1973
- Employment Rights Act 1996
- Agency Workers Regulations 2010
16.2 Equality and Non-Discrimination

- IR35 regulations and off-payroll working rules
- Intermediaries legislation compliance
- Appropriate contract structures and documentation

As REC members, we adhere to principles of:
- Respect for laws and regulations
- Honesty and transparency in all dealings
- Diversity and equal opportunities
- Professional competence and integrity
- Health and safety standards
17. Termination
17.1 Termination by Either Party
Either party may terminate their relationship with us at any time with immediate effect by providing written notice.
17.2 Effect of Termination on Ongoing Placements
Termination does not affect:
- Completed placements and associated fee obligations
- Ongoing guarantee periods for placed candidates
- Confidentiality obligations
- Any accrued rights or obligations
17.3 Termination by URecruit Global
We may terminate relationships immediately where:
- These Terms have been materially breached
- False or fraudulent information has been provided
- Illegal or unethical conduct has occurred
- Payment obligations have not been met
17.4 Data Retention After Termination
Following termination:
- Candidate data will be retained per our Privacy Policy
- Client data will be securely deleted or returned as requested
- Legal and regulatory retention requirements will be observed
18. Indemnification
18.1 Client Indemnification
Clients agree to indemnify and hold us harmless from claims arising from:
- Employment disputes with placed candidates
- Breach of employment law or discrimination
- Failure to provide accurate job information
- Violation of these Terms
18.2 Candidate Indemnification
Candidates agree to indemnify us against claims arising from:
- False or misleading information in applications
- Breach of confidentiality or non-compete obligations
- Violation of these Terms
- Unlawful conduct during the recruitment process
18.3 Limitation of Indemnification
Indemnification obligations are subject to:
- Prompt notification of claims
- Reasonable cooperation in defence
- Our right to participate in or control defence
- Exclusion of our own negligent or wrongful acts
19. Third-Party Links and Services

19.2 No Endorsement
We do not endorse or take responsibility for:

20. Complaints and Disputes

If you have a complaint about our services:

- Step 4: We will respond with resolution or explanation within 14 days

Nothing in these Terms prevents parties from:

21. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Acts of God, natural disasters, pandemics
- War, terrorism, civil unrest
- Government actions, sanctions, embargoes
- Labour strikes, industrial action
- Cyber attacks, system failures
21.2 Notification and Mitigation
The affected party must:
- Notify the other party promptly of force majeure events
- Use reasonable efforts to mitigate the impact
- Resume performance as soon as reasonably possible
22. Changes to Terms
22.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes may be necessary due to:
- Changes in applicable laws or regulations
- Business operational requirements

- Feedback from users and clients

25. Miscellaneous
25.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

If any provision of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely reflect the original intent.
25.3 No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of such provision or any other provision.
25.4 Assignment
We may assign our rights and obligations under these Terms to any third party. Users may not assign their rights without our prior written consent.
25.5 Survival
Provisions that by their nature should survive termination (including warranties, indemnification, limitation of liability, and governing law) shall survive termination of these Terms.

Section headings are for convenience only and do not affect the interpretation of these Terms.
25.7 Language
These Terms are written in English. Any translations are for convenience only, and the English version shall prevail in case of conflicts.
